This legal document applies to the website industrialnewlaunch.sg.
These Terms of Use ("Terms") govern your access to and use of the website located at https://industrialnewlaunch.sg and any subdomains, pages, content, services, and tools made available through it (collectively, the "Website"). The Website is operated by ZHANG JUN CHEN JOE, a real estate salesperson representative from ERA REALTY NETWORK PTE LTD, with a registered place of business at ERA APAC Centre, 450 Lorong 6 Toa Payoh, Singapore 319394 ("we", "us", or "our").
By accessing, browsing, or otherwise using the Website, you ("you" or "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Website. Please read these Terms carefully. They set out important information about the nature of the Website, the limitations on the property information made available through it, and your rights and obligations as a User. Where you are using the Website on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and references to "you" include that organisation.
About this website
1.1 The Website provides information about new-launch and balance-unit industrial properties in Singapore, including B1 (light industrial), B2 (general industrial), and food factory developments. It is intended primarily for company directors, business owners, real estate investors, and other professional parties evaluating industrial property options in Singapore.1.2 Estate agency services in connection with properties featured on the Website are provided by ZHANG JUN CHEN JOE, CEA Registration No. R001715B (the "Salesperson"), a Real Estate Salesperson registered with the Council for Estate Agencies of Singapore ("CEA") and operating under ERA Realty Network Pte Ltd (Estate Agent Licence No. L3002382K)
1.3 Where these Terms refer to "our" services, this means: (a) the operation of the Website itself by us; and (b) the estate agency services of the Salesperson, provided through ERA Realty Network Pte Ltd in accordance with the Estate Agents Act 2010 of Singapore.
Definitions
In these Terms, the following terms have the meanings set out below:
•"ABSD" means Additional Buyer's Stamp Duty under the Stamp Duties Act 1929.
•"BSD" means Buyer's Stamp Duty under the Stamp Duties Act 1929.
•"CEA" means the Council for Estate Agencies of Singapore.
•"Content" means all text, images, photographs, renders, floor plans, brochures, videos, data, specifications, comparisons, and other materials made available on or through the Website.
•"Developer" means the developer, vendor, or seller of a property featured on the Website.
•"Developer Materials" means renders, e-brochures, floor plans, site plans, photographs, videos, and similar materials supplied by a Developer or its appointed creators for marketing purposes.
•"EAA" means the Estate Agents Act 2010 of Singapore.
•"OTP" means an Option to Purchase issued by a Developer or seller.
•"PDPA" means the Personal Data Protection Act 2012 of Singapore.
•"Property Information" means information relating to specific properties, projects, units, or transactions, including specifications, indicative pricing, availability, floor plans, renders, location data, tenure information, and Developer information.
•"PSF" means price per square foot.
•"RES" means a Real Estate Salesperson registered with the CEA under the EAA.Eligibility and use of the Website
3.1 You represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement under Singapore law. Where you are acting on behalf of a company or other organisation, you confirm that you are duly authorised to bind that organisation to these Terms.
3.2 You may use the Website only for lawful purposes and in accordance with these Terms. 3.3 You must not, and must not attempt to:
•copy, scrape, harvest, mirror, or systematically extract Content from the Website by any automated or manual means;
•use any Content for purposes of training, fine-tuning, or evaluating artificial intelligence or machine-learning models, without our prior written consent;
•impersonate any person or misrepresent your identity, affiliation, or intent in any submission to us;
•introduce viruses, trojans, worms, logic bombs, or other harmful or malicious code;
•attempt to gain unauthorised access to the Website, its server, or any database connected to it;
•interfere with the proper working of the Website or with any other User's use or enjoyment of it;
•use the Website to transmit unsolicited commercial communications;
•use the Website in any manner that violates applicable Singapore law, including the EAA, the PDPA, the Computer Misuse Act 1993, the Spam Control Act 2007, and any subsidiary legislation made under them.
3.4 We may at any time, without notice and in our sole discretion, restrict, suspend, or terminate your access to the Website or any part of it, in particular where we reasonably suspect a breach of paragraph 3.3.Nature of the information — no professional advice
4.1 The Website is for general information only. Nothing on the Website, and no communication received from us through any contact channel referenced on the Website, constitutes financial advice, investment advice, legal advice, tax advice, valuation advice, accounting advice, or any other regulated professional advice.
4.2 The Salesperson is a Real Estate Salesperson registered with the CEA, and is not a licensed financial adviser, lawyer, tax adviser, valuer, or accountant. Any opinions, comparisons, market commentary, or analysis contained on the Website are general market commentary only.
4.3 You should obtain independent professional advice before making any purchase, investment, financing, or business decision in relation to any property. In particular, you should:
•engage a qualified Singapore-licensed conveyancing lawyer to review any OTP, sale and purchase agreement, lease, or other binding document before signing;
•consult a qualified accountant or tax adviser regarding the tax implications of an industrial property purchase, including BSD, GST, and corporate income tax considerations;
•consult a Monetary Authority of Singapore (MAS) regulated financial institution regarding mortgage financing terms, including the Total Debt Servicing Ratio (TDSR), Mortgage Servicing Ratio (MSR) where applicable, and stress-test rules;
•verify URA zoning, JTC eligibility conditions, and any other permitted-use rules against your intended business activity before purchase, including the URA 60/40 rule on core industrial use of gross floor area; and
•obtain an independent valuation where the size of the transaction warrants it.
4.4 You acknowledge that your use of the Website does not give rise to any fiduciary, advisory, or professional relationship between you and us, beyond the limited estate agency relationship described in paragraph 6.Property Information — important disclaimers
5.1 Property Information is provided to assist your initial research only. It is not an offer, an invitation to treat, an undertaking, or any contractual representation by us, by the Salesperson, or by any Developer.
5.2 All Property Information is subject to change without notice. The legally binding terms of any property transaction are set out exclusively in the OTP, sale and purchase agreement, or equivalent contract issued by the Developer or seller, and not on the Website. Where there is any inconsistency between the Website and an OTP or other binding document, the OTP or binding document prevails.
5.3 Without limiting the generality of paragraph 5.2:
•Indicative pricing, including any PSF rates and indicative quantum, is provided for orientation only. Final pricing is determined by the Developer's official price list at the time of OTP issuance and may be higher or lower than indicated.
•Floor plans, site plans, and unit layouts are supplied by the Developer or third parties. Final dimensions, floor areas, and configurations are subject to final survey, BCA approval, and the Developer's final architectural drawings.
•Computer-generated renders, artist impressions, and visual mock-ups are illustrative only. They are not photographs of the completed property and do not represent the property's final appearance, finish, or surroundings.
•Location maps, distances, and travel-time estimates are approximate and may change as transport infrastructure evolves.
•Tenure information, lease terms, and Temporary Occupation Permit (TOP) or Certificate of Statutory Completion (CSC) dates are based on Developer disclosures and government records as at the date of publication. You should independently verify these from SLA, URA, JTC, and BCA sources prior to any purchase decision.
•Specifications such as floor loading, ceiling height, power supply, vehicular access, lift specifications, roller-shutter dimensions, and exhaust or grease-trap provisions are based on Developer information and are subject to final approvals from BCA, the Singapore Civil Defence Force (SCDF), URA, the National Environment Agency (NEA), JTC Corporation, and any other relevant authority.
•Information regarding URA permitted uses, the URA 60/40 rule, and zoning compliance is general guidance only. You are responsible for confirming with URA, JTC, and any other competent authority that your intended business activity is permissible at the specific property.
•Past transaction prices, rental rates, occupancy rates, and yield references are historical only. They do not guarantee or predict future performance.
•Availability of specific units changes in real time. We make reasonable efforts to keep the Website current but cannot guarantee that any unit shown as available remains available at the time of your enquiry.
5.4 To the maximum extent permitted by law, we make no representation or warranty, whether express or implied, regarding the accuracy, completeness, currency, suitability, or fitness for any purpose of any Property Information.Estate agency representation and commission disclosures
6.1 In relation to specific projects featured on the Website, the Salesperson may act as the appointed marketing agent for the Developer or seller, as a co-broker, or simply as a publisher of publicly available market information. The Salesperson's precise role in respect of each project will be disclosed to you on request and, in any event, prior to entering into any binding transaction in compliance with the CEA Code of Practice for Estate Agents and the Practice Guidelines on Advertising.
6.2 Where the Salesperson is appointed by a Developer or seller, commission and fees in respect of that transaction are payable by the Developer or seller, and not by the buyer. Where any payment from the buyer would arise in any circumstance, this will be disclosed in writing in advance and only after a CEA-prescribed estate agency agreement has been signed.
6.3 No estate agency relationship is formed between you and the Salesperson by mere use of the Website or by exchange of preliminary correspondence. An estate agency relationship arises only when you and the Salesperson sign an estate agency agreement in the form prescribed by the CEA, or otherwise expressly engage the Salesperson in writing. 6.4 You may verify the Salesperson's registration at the CEA Public Register: https://eservices.cea.gov.sg/aceas/public-register/Submissions and personal data
7.1 When you submit any contact form, request a brochure or e-brochure, register for updates, schedule a viewing, or otherwise contact us through the Website, you consent to:
•us using the personal data you provide to respond to your enquiry, send you the requested information, and follow up regarding industrial property opportunities relevant to the interest you have expressed;
•being contacted by phone, email, SMS, WhatsApp, or other channel you have provided, in connection with your enquiry; and
•the storage and processing of your personal data in accordance with our Privacy Policy and the PDPA.
7.2 You may withdraw your consent at any time by emailing CBA.JOE@GMAIL.COM. Withdrawal will end further marketing contact but will not affect the lawfulness of any processing carried out before withdrawal, nor will it affect non-marketing communications required to fulfil any specific request you have already made.
7.3 You warrant that all information you submit is accurate and that you are entitled to provide it. If you submit information about another person (for example, a colleague, business partner, or director of your company), you warrant that you have obtained that person's prior consent to their personal data being shared with us for the purposes set out above.
7.4 Detailed information on how we collect, use, disclose, store, and protect personal data, and on cookies and tracking technologies used on the Website, is set out in our Privacy Policy.Intellectual property
8.1 All Content on the Website (other than Developer Materials) is owned by ZHANG JUN CHEN JOE or its licensors. This includes the Website's overall design, structure, layout, original copy, logos, branding, original photographs, original videos, and any compilations or aggregations of data prepared by us. All such Content is protected by copyright, trade mark, and other intellectual property laws of Singapore and other jurisdictions.
8.2 Developer Materials are owned by the relevant Developer or its appointed creators, and are made available on the Website under licence from the Developer for marketing purposes only. All rights in Developer Materials are reserved by the Developer.
8.3 You may view, download, and print individual pages of the Website for your own personal, non-commercial reference, provided you do not modify any Content and you retain all copyright and other proprietary notices that appear in the Content.
8.4 You must not, without our prior written consent (and, in respect of Developer Materials, the relevant Developer's consent):
•reproduce, republish, redistribute, sell, license, or commercially exploit any Content;
•frame, hotlink, or embed the Website, or any of its pages, within another website or application;
•remove, obscure, or alter any copyright, trade mark, or other proprietary notice;
•use any Content for purposes of training, fine-tuning, or evaluating artificial intelligence or machine-learning models; or
•create derivative works based on any Content.Third-party links, services, and embeds
9.1 The Website may contain links to third-party websites, embedded content from third-party services (including, without limitation, mapping services, video hosting services, calendar booking tools, and social media platforms), and tracking technologies operated by third parties (including, without limitation, Google Analytics, Meta Pixel, and similar analytics or advertising services).
9.2 We do not control, endorse, or accept responsibility for any third-party website, content, or service. Your use of any third-party website or service is governed by that third party's own terms and privacy policy, and you are responsible for reviewing them.
9.3 Information about cookies, pixels, and other tracking technologies used on the Website, including the categories of data collected and the purposes for which it is used, is set out in our Privacy Policy.Disclaimers and no warranties
10.1 The Website and all Content are provided on an "as is" and "as available" basis.
10.2 To the maximum extent permitted by law, we exclude all representations, warranties, conditions, and other terms (whether express or implied by statute, common law, or otherwise), including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or that the Website will be uninterrupted, timely, secure, or error-free.
10.3 We do not warrant that the Website is free from viruses, malware, or other harmful or malicious code. You are responsible for taking appropriate measures to protect your own systems, devices, and data.Limitation of liability
11.1 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the laws of Singapore, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.
11.2 Subject to paragraph 11.1, to the maximum extent permitted by law:
•we will not be liable for any indirect, special, consequential, exemplary, or punitive loss or damage, or for any loss of profit, loss of revenue, loss of business, loss of opportunity, loss of contract, loss of goodwill, or loss of, or corruption to, data, in each case howsoever arising and whether or not we have been advised of the possibility of such loss; and
•our total aggregate liability arising out of or in connection with these Terms or your use of the Website, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not exceed Singapore Dollars One Hundred (SGD 100).
11.3 You acknowledge that the limitation in paragraph 11.2 above is reasonable having regard to the fact that the Website is provided free of charge to Users, that any actual property purchase will be governed by separate contractual documents (such as the OTP and any sale and purchase agreement) which contain their own representation, warranty, and liability provisions, and that you are expected to obtain independent professional advice as set out in paragraph 4.Indemnity
12.1 You agree to indemnify, defend, and hold us, our directors, officers, employees, sub-contractors, and the Salesperson harmless from and against all claims, demands, actions, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable legal fees on a solicitor and own client basis) arising out of or in connection with:
•your breach of these Terms;
•your misuse of the Website or any Content;
•your violation of any applicable law in connection with your use of the Website;
•your infringement of the rights of any third party (including any intellectual property right or right of confidentiality); or
•any inaccurate, false, or misleading information you submit through the Website.Modifications to these Terms
13.1 We may update these Terms from time to time. The "Effective date" at the top of these Terms shows when they were most recently updated.
13.2 If we make changes that are material to your use of the Website, we will take reasonable steps to draw them to the attention of Users, for example by posting a prominent notice on the Website or by emailing Users who have provided us with an email address. Your continued use of the Website after the Effective date constitutes acceptance of the updated Terms. If you do not agree to any updated Terms, you must stop using the Website.Suspension and termination
14.1 We may suspend, restrict, or terminate your access to all or part of the Website at any time and without notice, in particular if we believe you have breached these Terms or any applicable law, or if continued provision of the Website to you would expose us to legal, regulatory, or reputational risk.
14.2 Termination of access does not affect any rights or liabilities that have accrued prior to termination, nor any provision of these Terms that is expressly or by implication intended to survive termination, including paragraphs 8 (intellectual property), 10 (disclaimers), 11 (limitation of liability), 12 (indemnity), 15 (governing law), and 16 (general).Governing law and jurisdiction
15.1 These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, the Website, or your use of the Website, are governed by and will be construed in accordance with the laws of Singapore.
15.2 You agree that the courts of Singapore have exclusive jurisdiction to settle any such dispute or claim, and you submit to the exclusive jurisdiction of those courts.General
16.1 Severability. If any provision or part of these Terms is held by any court or competent authority to be invalid, illegal, or unenforceable, that provision or part will be deemed modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, deleted, and the remaining provisions and parts will continue in full force and effect.
16.2 No waiver. No failure or delay by us in exercising any right under these Terms will operate as a waiver of that right, nor will any single or partial exercise of any right preclude any other or further exercise of it. A waiver is effective only if given in writing. 16.3 Entire agreement. These Terms, together with our Privacy Policy and any project-specific terms expressly incorporated by reference, constitute the entire agreement between you and us in relation to your use of the Website. They supersede any prior representations, communications, or agreements (whether written or oral) on the same subject matter.
16.4 Assignment. You may not assign or transfer your rights or obligations under these Terms. We may assign or transfer our rights and obligations under these Terms to any successor in interest, including in connection with a sale or restructuring of business.
16.5 No agency, partnership, or joint venture. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us, save for the limited estate agency relationship described in paragraph 6 where it is formed under a CEA-prescribed agreement.
16.6 Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision of these Terms. 16.7 Electronic communications. You consent to receive communications from us electronically. We may communicate with you by email, by SMS, by WhatsApp, or by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
16.8 Force majeure. We will not be in breach of these Terms or otherwise liable for any failure or delay in performance to the extent that it is caused by an event beyond our reasonable control, including act of God, fire, flood, epidemic, pandemic, government action, civil unrest, war, telecommunications failure, internet outage, or third-party service provider failure.Statutory estate agency disclosures
